Driver Platform Access Agreement
The agreement between you and us when you drive with the app.
Draft under legal review. Names and contact details in brackets will be filled in before launch.
In plain English
- You run your own business. You choose when to drive, which requests to accept, and whether to also drive for other apps.
- We approve before you drive: your documents, background check, car and photo. Any change is approved again.
- Money: riders pay a fixed price in the app. We keep a commission (currently 20%); every cancellation, no-show, pickup-distance, waiting and lost-item fee and 100% of tips go to you as described. Payouts are weekly.
- Safety: the rider confirms your face and plate, then gives you a PIN to start the trip. If your car records, riders are told first.
- Fair process: a pause or deactivation is decided by a person, with the reason, and you can appeal.
- Disputes: individual arbitration, with a 30-day opt-out.
1. Our relationship
This Driver Platform Access Agreement ("Agreement") is between you (and your business, if you drive through one) and [Company Name], a [State] [LLC/corporation] ("we," "us"). It takes effect when you accept it in the app.
1.1 Independent businesses. You and we are separate, independent businesses. This is not an employment agreement and you are not our employee, partner, agent or franchisee. You may not make promises on our behalf.
1.2 Your choices. You decide whether, when and where to go online, and whether to accept, decline or ignore any ride request. There is no minimum number of rides or hours. You may drive for other apps or find riders in other lawful ways at the same time.
1.3 No discrimination. You may not refuse or treat a rider differently because of race, color, national origin, religion, sex, sexual orientation, gender identity, disability, age, or any other status protected by law.
2. Using the platform
2.1 License. While this Agreement is in effect, we give you a personal, non-exclusive, non-transferable license to use the RideWit driver app (the "Platform") only to provide rides requested through it and to manage your account.
2.2 Laws and permits. You are responsible for following all laws that apply to the rides you give, and for holding any driver's license, permit or registration your city or state requires. Do not go online if you do not meet them.
2.3 Accessibility and service animals. You must transport riders with service animals and reasonably accommodate riders with disabilities as the law requires. Allergies and religious objections are not exceptions. Refusing a rider because of a service animal is a serious violation and may lead to deactivation after review.
2.4 Your equipment. You provide and pay for your vehicle, phone, data plan, fuel, maintenance and anything else you need. You are responsible for the rides you provide.
3. Getting approved and staying approved
3.1 Your account. Keep your account information accurate and current. Have only one driver account. Never let anyone else drive using your account or your photo; that is a serious safety violation.
3.2 Checks. Before your first ride, and from time to time after, you agree to a criminal background check and a driving record check, run by a third-party provider with your consent as the Fair Credit Reporting Act requires. You must be at least 21 years old. We may share results with our insurer and regulators when needed.
3.3 Documents. Upload a valid driver's license, vehicle registration and proof of insurance, and keep them current. We review each document before you can drive. An expired document stops you from going online until a new one is approved.
3.4 Your vehicle and photo. Your vehicle must be lawfully yours to use, registered, insured, safe and kept in good repair, with any manufacturer recall fixed. We approve the vehicle details and your profile photo, which riders use to recognize you. Any change must be approved again before your next ride.
4. Ride requests
4.1 How requests reach you. A new request waits 30 seconds so the rider can cancel free, then is offered to the closest available driver first, for 15 seconds each. Accepting a request creates an agreement between you and that rider to provide the ride at the quoted price.
4.2 Getting there. Choose a safe, efficient route; app directions are only a suggestion. Take riders and their guests directly to the destination and any stops they add, without stops they did not ask for.
4.3 Pickup check. When you arrive, slide "arrived." The rider checks your face and plate in their app and confirms it is you; then they give you a 4-digit PIN, which you enter to start the trip. Never start a trip without it.
4.4 Recording. If your vehicle records video or audio, you must tell us, display any notice the law requires, and wait until the rider accepts the in-app recording notice before starting the trip. Use recordings only for safety, and share them only with us, insurers or authorities as the law allows.
4.5 Rider information is confidential. You will see riders' names, pickup and drop-off locations and, during a live trip, a way to call or text them. Use this only to give that ride. Do not contact riders afterward, keep copies, or share their information. Breaking this can also break privacy laws.
5. Money
5.1 Fares. Riders pay a fixed price shown before they request. We collect it as your limited payment collection agent. The fare for each ride, our commission and your earnings are fixed when the ride is requested and shown to you in the app.
5.2 Our commission. We keep a commission of 20% of the trip fare. We may agree a different rate with you for a set period; it is shown in your account. We will give you at least 30 days' notice before raising the standard rate.
5.3 What goes to you. In addition to your share of the fare, these are yours (amounts as of this draft):
| Item | You receive |
|---|---|
| Tips | 100% (less the card processing fee on tips over $20) |
| Late cancellation by the rider | $5.00 (100%) |
| Rider no-show (after you wait 5 minutes) | $10.00 of the $15.00 fee |
| Pickup distance beyond 5 miles | $1.50 per mile (100%) |
| Extra passengers above 4 | 100% of the extra-passenger fee |
| Waiting at a rider's stop | 100% of the waiting charge |
| Lost item drop-off | $25.00 of the $30.00 fee |
5.4 Payouts. Earnings are paid weekly to the bank account you connect through our payment provider (Stripe), for the previous week, normally on Monday. Your bank may take 1–3 business days. You must complete the provider's identity checks to receive payouts.
5.5 Rider disputes. If a rider's bank reverses a charge and we lose the dispute, you keep your earnings for that ride unless we find you were at fault. If a rider successfully disputes a tip, that tip is reversed from your next payout.
5.6 Taxes. You are responsible for your own taxes. We will issue tax forms (such as Form 1099) as the law requires.
6. Insurance
6.1 Your auto insurance. Keep automobile liability insurance on your vehicle, with you as a listed driver, at least at the levels your state requires, and upload proof each time it renews. Tell us right away if it is cancelled.
6.2 Your personal policy may not cover rides. Many personal auto policies exclude coverage while you are driving for a rideshare service. Check with your insurer; you may need a rideshare endorsement.
6.3 Coverage during rides. Insurance for the periods when you are online and on trips is kept at the levels required for transportation network companies in each state where you drive. [Who holds this policy and its limits will be confirmed here.]
6.4 Your own injuries. We do not provide workers' compensation for you unless the law requires it. You may choose to buy occupational accident insurance.
7. Reporting, ratings, location and messages
7.1 Incidents. Tell us within 24 hours about any crash, injury or safety incident during a ride, and help us look into it. Also tell us within 24 hours if you are arrested for, charged with or convicted of a crime, so we can review your eligibility.
7.2 Ratings. Riders may rate you and leave compliments, and you may rate riders. Rate honestly. Ratings are not confidential; we may show them and remove ones that break our rules.
7.3 Location. The Platform needs your phone's location while you are online. Do not fake or manipulate it. Riders see your car's approximate location from acceptance until the trip ends. Your location is deleted when you go offline, and we never use it to supervise how you work.
7.4 Messages. You agree we may contact you by push notification, email, text and phone (including automated messages) about requests, your account, payouts and safety. Reply STOP to opt out of non-essential texts.
8. Pauses, deactivation and appeals
8.1 A person decides. A pause or permanent deactivation is decided by a member of our team after reviewing the facts, not by an automated system. The one exception: if a rider reports that the person who arrived was not you, your account is paused right away for safety until we check; we then ask you for a selfie, a person reviews it, and we restore your account promptly if the report was wrong.
8.2 Reasons. We may pause your account while we look into a serious concern, and deactivate it if we find a serious or repeated breach of this Agreement, our safety rules or the law. Examples include unsafe or impaired driving, harassment or violence, discrimination, fraud, letting someone else use your account, or lapsed documents or insurance.
8.3 Notice and appeal. We will tell you the reason in writing. You may appeal within 30 days, through Contact us in the app, with any information you want us to consider, and someone not involved in the original decision will review it where possible. Where state or local law gives drivers additional deactivation rights, we follow that law.
9. Term, termination and legal protections
9.1 Term. This Agreement lasts until you or we end it. You may end it at any time by telling us in writing or deleting your account. We may end it with 30 days' notice, or sooner for a breach after review under Section 8.
9.2 After it ends. Earnings already owed are still paid. Sections 4.5, 5, 9 and 10 continue to apply.
9.3 Disclaimers. We provide the Platform "as is." We do not promise a number of ride requests or earnings, that the app will always work, or that riders will behave well. To the extent the law allows, we disclaim implied warranties.
9.4 Limitation of liability. To the extent the law allows, neither of us is liable to the other for indirect or consequential damages or lost profits. This does not limit liability for death or personal injury caused by negligence, fraud, gross negligence or willful misconduct, or amounts owed for rides.
9.5 Indemnity. You will cover our reasonable losses from claims caused by your breach of this Agreement, your violation of law, or your negligence while providing rides, except to the extent we caused them.
9.6 Confidential information. Keep our non-public business information and all rider information confidential, use it only to provide rides, and return or delete it when this Agreement ends.
9.7 Our name and logo. You do not have to display our name or logo. If we give you a sign or decal, use it only while online, never present yourself as our employee, and remove it when this Agreement ends. Do not use our name in your own business, domain or social media names.
10. Disputes and general terms
10.1 Talk to us first. Send a written description of any dispute through Contact us in the app or to [Email]. We will try in good faith to resolve it within 60 days, with at least one call or meeting if either side asks. Filing deadlines are paused during that time.
10.2 Individual arbitration. If not resolved, any dispute between you and us, including about this Agreement, payments, deactivation or whether you are an employee, will be decided by binding individual arbitration under the Federal Arbitration Act, not in court and not as a class, collective or representative action, to the extent the law allows. You may still bring individual claims in small claims court, bring individual sexual assault or harassment claims in court, and file charges with government agencies such as the EEOC, the Department of Labor or the NLRB.
10.3 Fees and place. Arbitration is run by [arbitration provider], in the county where you live or by video. You pay no more to file than you would in court; we pay the rest of the provider's and arbitrator's fees. The arbitrator can award any individual relief a court could.
10.4 Opting out. Agreeing to arbitration is not required to drive with us. You may opt out by emailing [Email] within 30 days of accepting this Agreement, with your name, account phone number and city. There will be no retaliation for opting out.
10.5 Governing law. Apart from the Federal Arbitration Act, this Agreement is governed by the law of the state where you live when you accept it.
10.6 General. Changes to this Agreement bind you only once you accept them in the app; until you do, you cannot keep using the Platform. If part of it is unenforceable, the rest stays in effect. We may transfer it to a company that takes over the Platform; you may not transfer it. This is the whole agreement about your use of the Platform. Notices to us: [Company Name], [Address], [Email].
