Terms of Service
The agreement between you and us when you use the app to ride.
Download PDFDraft under legal review. Names and contact details in brackets will be filled in before launch.
In plain English
- Who we are: a small, local ride service. We run the app, set the price, approve every driver and handle payment. Drivers are independent and drive their own cars.
- Fixed price: the price shown before you request is the price you pay. Extra charges only come from things you choose or cause (stops, waiting, more passengers, a late cancel or no-show), and the app shows them first.
- Free to cancel until a driver accepts. After that, a $5.00 late-cancel fee goes to the driver.
- Safety first: check the driver's face and plate before you get in, share your PIN only then, call 911 in an emergency. Some cars record video and audio; you are told first and can cancel free.
- Rules are enforced by a person, never automatically. A problem leads to a review, then a warning, a pause or removal. You get a reason and a way to respond.
- Disputes: we try to solve problems directly first. Most remaining disputes go to individual arbitration, not court or class actions. Small claims court stays open, and you can opt out within 30 days.
1. Agreement to these Terms
1.1 Who we are. These Terms of Service ("Terms") are an agreement between you and [Company Name], a [State] [LLC/corporation] ("we," "us"). They govern your use of the RideWit app, our website and related services (the "Services") in the United States.
1.2 Accepting. You accept these Terms by creating an account, by ticking the box that says you agree, or by using the Services. If you do not agree, do not use the Services.
1.3 Other documents. These also form part of these Terms: the Rider Rules, the Privacy Policy, the Fee Schedule shown in the app, and any notice the app shows you before you confirm an action (for example, the in-car recording notice). If a specific notice conflicts with these Terms, the specific notice controls for that ride.
1.4 Eligibility. You must be at least 18 years old and able to form a binding contract. Riders under 18 may travel only with an adult account holder who rides with them and is responsible for them. You may hold only one account, and it is personal to you.
1.5 Important notice. Section 15 requires most disputes to be resolved by individual arbitration, not in court or as a class action. It explains how to opt out within 30 days.
2. What the Services are
2.1 A platform that arranges rides. The Services let you request a ride from a driver we have approved to use the app ("Driver"). Drivers are independent businesses, not our employees or agents. We provide the technology, set the price, approve drivers and vehicles, and process payment on the Driver's behalf.
2.2 Where we operate. These Terms apply anywhere in the United States where the Services are offered. We currently operate in a limited area and will tell you in the app where rides are available. Some states and cities have extra rules; where required, a state addendum in the app adds to these Terms for rides there.
2.3 No guarantee of a ride. We are a small service with a limited number of Drivers. We do not promise a Driver will be available, accept your request, or arrive by a particular time. Estimated times are estimates.
2.4 Personal use. The Services are for your personal transportation and that of your guests. You may not resell rides or use the Services to run a business without our written permission.
3. Your account
3.1 Accurate information. Give us your real name, a working email and phone number, and keep them current. We may ask you to confirm your phone number by text code before your first ride.
3.2 Security. Keep your password private and do not let anyone else use your account. Tell us right away if you think someone else has accessed it. You are responsible for rides requested from your account unless you report unauthorized use promptly.
3.3 Age confirmation. You confirm you are 18 or older when you sign up (or once, before your first request). Giving a false age is a breach of these Terms.
3.4 New-rider limits. To protect riders and drivers from fraud, new accounts (the first 7 days or first 3 rides) have limits, such as a maximum fare per ride, one ride at a time, and limits on adding new cards. The app tells you if a limit applies.
3.5 Closing your account. You can delete your account at any time in the app. Some records (trips, payments, safety reports) are kept as required by law or for legitimate business needs, as described in the Privacy Policy.
4. Requesting and taking rides
4.1 Fixed price. Before you request, the app shows a price for the trip you entered. That is the price you pay for that trip; traffic and route changes do not raise it. Only the extras in Section 5 can add to it, and the app shows each one before it applies.
4.2 Free cancellation window. After you request, nothing is sent to drivers for 30 seconds, and you can cancel free in one tap. Cancelling stays free until a Driver accepts.
4.3 Finding a driver. We offer your request to the closest available Driver first, then the next. If none is nearby, we keep looking for up to 15 minutes; if no one accepts, the request ends and nothing is charged.
4.4 Pickup check. When your Driver arrives, the app shows the Driver's photo and license plate. Check both before you get in. If it is the right person, tell the app; your 4-digit PIN then appears. The trip cannot start until the Driver enters your PIN. If it is not the right person, do not get in and report it in the app.
4.5 Recorded vehicles. Some Drivers record video and audio inside their vehicle for safety. If yours does, the app tells you before pickup and asks for your consent. You may decline and cancel at no charge. By consenting, you agree to be recorded during the ride. Recordings are reviewed only for a safety report, accident, dispute, or as required by law.
4.6 Passengers, children and car seats. Tell us how many people are riding; extra passengers above 4 may cost more, and Drivers may refuse more riders than booked. Children under 18 must ride with an adult. If a child needs a car seat, you must bring an appropriate seat and install it yourself; Drivers do not provide or install car seats.
4.7 Stops, waiting and destination changes. You may add up to 2 stops and change your destination during a trip; the app shows the new price, and you confirm it first. At a stop, the first 3 minutes of waiting are free, then waiting is charged per minute (Section 5). Waiting is limited to 5 hours per trip and you are asked every 30 minutes whether to keep waiting.
4.8 Service animals and accessibility. Drivers must transport riders with service animals as required by law. Tell us if you need an accommodation and we will try to help.
5. Payments, fees and charges
5.1 Paying in the app only. All rides are paid by card (including Apple Pay or Google Pay) through the app. No cash. You need a working card on file to request a ride. We collect payment on behalf of the Driver as their limited payment collection agent; paying us satisfies your payment to the Driver.
5.2 Hold, then charge. When you request, we place a temporary authorization hold for the quoted price on your card. No Driver is told about your request until the hold succeeds; if your card is declined, the request is called off and nothing is charged. We charge the final amount when the trip ends and release any unused hold. Your bank may ask you to confirm the card (for example, 3D Secure).
5.3 Fees. The table shows the fees in effect when these Terms were drafted. The current amounts are always in the app and on screen before any fee applies.
| Fee | Amount | When it applies | Who receives it |
|---|---|---|---|
| Late cancellation | $5.00 | You cancel after a Driver accepted (not when you decline a recorded ride) | Driver |
| No-show | $15.00 | The Driver waited at least 5 minutes after arriving and you did not come | $10.00 Driver, $5.00 us |
| Pickup distance | $1.50 per mile beyond 5 miles | The nearest Driver is more than 5 miles away; shown in your quote | Driver |
| Extra passengers | $3.00 per person above 4 | More than 4 people ride | Driver |
| Waiting at a stop | First 3 min free, then $0.40/min (1st hour), $0.50 (2nd), $0.60 (3rd), $1.00 after | You ask the Driver to wait at a stop | Driver |
| Lost item drop-off | $30.00 | You ask the Driver to deliver an item left in the car | $25.00 Driver, $5.00 us |
| Booking fee | Currently $0.00 | Every ride, if set | Us |
5.4 Tips. Tips are optional, added after the ride, and go 100% to the Driver.
5.5 Questioning a charge. If a charge looks wrong (for example, a waiting charge or no-show fee), use "Question this charge" on the receipt within 30 days. A person reviews it and corrects or refunds it if it was wrong.
5.6 Card disputes. Please contact us before disputing a charge with your bank; we usually fix errors faster. If you open a bank dispute (chargeback), a person reviews it and may place a hold on new requests from your account while the dispute is open, and we will tell you why.
5.7 Taxes and tolls. Prices include any taxes we are required to collect. Tolls on your route, if any, will be shown in the app before you request once supported.
5.8 Changes to prices. We may change prices and fees for future rides. A change never applies to a ride you have already requested.
6. Rider Rules and how we enforce them
6.1 The Rider Rules. You agree to follow the Rider Rules, which are part of these Terms. In short: treat Drivers and other riders with respect; no harassment, threats, violence, discrimination or illegal activity; no damage to the vehicle; be at your pickup on time; tell the truth in reports and ratings; and follow the law.
6.2 A person reviews every case. We do not pause or close rider accounts automatically. When a rule may have been broken, a member of our team reviews the facts first (trip records, the Driver's and your account of what happened, and any recording that applies).
6.3 What can happen. Depending on how serious it is and whether it has happened before, the outcome may be:
- no action;
- a written warning;
- a fee listed in the fee table (for example, a no-show);
- a temporary pause on requesting rides while we finish a review;
- permanent removal from the Services.
Serious safety violations (violence, threats, sexual misconduct, a weapon, or driving-related danger) may lead straight to a pause and removal, decided by a person.
6.4 Notice and your side of the story. If we pause or remove your account, we tell you in the app (and by email when possible) with the reason. You may reply within 30 days, using Contact us in the app, with anything you want us to consider, and a different team member reviews it when possible. We will tell you the result.
6.5 Early warnings. Repeated late cancellations or no-shows inconvenience Drivers. If you reach 2 in 30 days, the app warns you; at 3, your account is reviewed by a person.
7. Safety
7.1 Emergencies. In an emergency, call 911 first. The app is not an emergency service and we cannot dispatch police, fire or medical help.
7.2 Reporting a problem. Use "Safety" during a trip or "Report a safety problem" on the receipt (open for 30 days after a trip). Reports alert our team right away. Please report any crash or injury within 24 hours and help us look into it.
7.3 Wrong driver. If the person who arrives does not match the photo and plate in the app, do not get in. Report it in the app: the trip is cancelled, the Driver's account is paused while we check, and our team is alerted. If our review finds it was your Driver after all, the late-cancellation fee may apply, and knowingly false reports are a breach of these Terms.
7.4 Share my trip. You can send a live link to family or friends so they can follow your trip. The link stops working when the trip ends.
7.5 Your belongings. You are responsible for your belongings. If you leave something behind, report it in the app within 7 days; we will help connect you with the Driver but cannot guarantee it is found.
8. Privacy, location and messages
8.1 Privacy Policy. Our Privacy Policy explains what we collect and how we use it. Key points:
- Location: we use your location to set pickups and show your trip. A Driver sees your pickup only after accepting, and only during the trip.
- What you see about the Driver: first name, photo, vehicle and plate, from acceptance until the trip ends. Afterward you keep only the name in your trip history.
- Phone numbers: call and text buttons work only during a live trip.
- No face recognition: we do not scan faces or collect biometric identifiers.
8.2 Messages we send. You agree that we may contact you by push notification, email, text message and phone call about your account, trips, payments and safety, including automated messages. Message and data rates may apply. You can stop marketing texts at any time by replying STOP; you cannot opt out of messages essential to a trip in progress or to your account's security, but you can turn off push notifications in your phone's settings.
8.3 Ratings. After a trip you and the Driver may rate each other and leave compliments. Give ratings honestly. We may remove ratings that break the Rider Rules.
9. Drivers, vehicles and insurance
9.1 Who drives. Every Driver is approved by us before driving: we review their license and documents, approve their vehicle and photo, and check their background and driving record as required by law. Any change to a Driver's car or photo must be approved again.
9.2 Independent Drivers. Drivers are independent businesses who use our platform under a separate agreement with us. They choose when to drive and which requests to accept.
9.3 Insurance. Rides are covered by insurance at the levels required for transportation network companies in the state where the ride takes place. A summary of the coverage is available on request.
10. The app and your content
10.1 Your license to use the app. We give you a personal, limited, revocable, non-transferable license to use the app to arrange rides for yourself and your guests. We keep all rights in the app, its software, data, name and logo.
10.2 What you may not do. Do not copy, modify, resell or reverse-engineer the app (except where the law allows); scrape or harvest data; interfere with its security or other users; use another person's account; or fake your location.
10.3 Your content. You own what you submit (ratings, compliments, notes, reports, photos of lost items). You let us use it to run, improve and secure the Services and to resolve disputes, and you confirm you have the right to share it.
10.4 Feedback. If you send us ideas or suggestions, we may use them without owing you anything.
11. Pausing, closing and ending these Terms
11.1 By you. You may stop using the Services and delete your account at any time. Fees or charges already owed remain payable.
11.2 By us. We may pause or close your account, or stop offering the Services to you, after a person has reviewed the situation as described in Section 6: for a breach of these Terms or the Rider Rules, fraud, a safety risk, or when required by law. We may also end the Services entirely with reasonable notice.
11.3 What survives. Sections on payments owed, your content license, disclaimers, limits of liability, indemnity and dispute resolution continue after your account is closed.
12. Disclaimers
We work hard to keep the Services reliable and safe, but we provide them "as is" and "as available." To the extent the law allows, we disclaim all warranties not stated in these Terms, including implied warranties of merchantability, fitness for a particular purpose and non-infringement. We do not promise the app will always be available, error-free or secure, that maps, addresses and estimated times will be accurate, or that a ride will be available. Some states do not allow some of these disclaimers, so they may not all apply to you.
13. Limitation of liability
To the extent the law allows:
- we are not liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, lost data or the cost of substitute transportation, arising from the Services; and
- our total liability to you for any claim arising from these Terms or the Services is limited to the greater of (a) the amounts you paid us for rides in the 12 months before the claim arose, or (b) $100.
These limits do not apply to liability that cannot be limited by law, including liability for death or personal injury caused by our negligence, or for our fraud, gross negligence or willful misconduct. They do not reduce the insurance coverage that applies to a ride.
14. Your responsibility to us (indemnity)
If someone brings a claim against us because you broke these Terms or the law, misused the Services, or harmed another person or their property, you agree to cover our reasonable losses and costs (including reasonable attorneys' fees) from that claim, to the extent the law allows. We will tell you about the claim and may choose to control the defense; you will cooperate with us.
15. Resolving disputes
Please read this section carefully. It affects your right to go to court.
15.1 Talk to us first. Before starting any formal claim, send us a written description of the problem and what you want through Contact us in the app (Account → Contact us), or at [Email] or [Address]. We will try in good faith to resolve it within 60 days, including at least one call or meeting if either of us asks. Deadlines to file a claim are paused during these 60 days.
15.2 Individual arbitration. If we cannot resolve it, you and we agree that any dispute arising from these Terms, the Services or any ride, including claims that arose before you accepted these Terms, will be decided by a neutral arbitrator in binding individual arbitration, not by a judge or jury. The Federal Arbitration Act governs this section.
15.3 What stays out of arbitration. Either of us may:
- bring an individual claim in small claims court if it qualifies;
- bring an individual claim of sexual assault or sexual harassment in court;
- ask a court for an order to stop misuse of intellectual property;
- report a matter to a government agency.
15.4 No class actions. You and we may bring claims only on an individual basis, not as a plaintiff or class member in a class, collective, consolidated or representative action. If a court decides this waiver cannot be enforced for a particular claim, that claim goes to court, not to class arbitration.
15.5 How it works. The arbitration will be run by [arbitration provider], held in the county where you live or by video, and decided under the law that would apply in court. For claims under $10,000, you may choose to have it decided on written documents alone. Your share of filing fees will not exceed what you would pay to file in court; we pay the rest of the provider's and arbitrator's fees. The arbitrator can award the same individual relief a court could.
15.6 Many similar claims. If 25 or more similar claims are filed against us by the same lawyers or coordinated group within 180 days, they will be handled in batches so each is still decided individually, and deadlines are paused while they wait.
15.7 Your right to opt out. You can opt out of arbitration by emailing [Email] within 30 days of first accepting these Terms, with your name, the email and phone number on your account, and a clear statement that you want to opt out. Opting out has no effect on your use of the Services.
15.8 Governing law and courts. Apart from Section 15.2, these Terms are governed by the laws of the state where you live, without regard to its conflict-of-law rules. Any claim that goes to court will be heard in the state or federal courts of the county where you live or where the ride took place.
16. Changes, notices and general terms
16.1 Changes to these Terms. We may update these Terms. For a material change, we will tell you in the app or by email at least 30 days before it takes effect, and ask you to read and accept it in the app; you will not be able to keep using the Services until you do. Changes never apply to a ride already requested, or to a dispute we already know about.
16.2 Notices. We may send you notices through the app, by email or by text. You can send notices to [Company Name], [Address], [Email].
16.3 General. These Terms (with the documents in Section 1.3) are the whole agreement between us about the Services. If part is unenforceable, the rest stays in effect. If we do not enforce a right right away, we have not given it up. You may not transfer these Terms; we may transfer them to a company that takes over the Services, with notice to you. Nothing in these Terms creates a partnership, joint venture, employment or agency relationship. Neither of us is responsible for delays caused by events outside reasonable control.
16.4 Contact. Questions: Contact us in the app (Account → Contact us) · [Email] · [Phone] · [Address].
